Program Content

Globalization has offered Egyptian businesses a broader access to international markets all

over the world. However, as the volume and complexity of export sales increase, the possibilities

of misunderstandings and disputes arising between sellers and buyers also increase especially with

the absence of an adequately drafted sales contract. An International Contract of Sale assures that

exporters and importers are protected during the sale of goods across borders. All parties are able to

understand the ground rules of their deal as well as their full responsibilities and liabilities. However,

in commercial practice, many companies substitute a contract of sale with simpler tools like a Proforma

Invoice, purchase order....etc.; where the consequences of such decisions are only realized when

disputes arise.

On the other hand, Incoterms are the official International Chamber of Commerce - ICC rules interpreting

all commercial terms such international contracts of sale. Reference to Incoterms in a sales contract

clearly defines the respective obligations of both the seller and the buyer, reducing the risk of legal

complications between them.

"EXPO Deal©" is your comprehensive guide to draft an international sales contract with reference to

the latest Incoterms version 2010. This program defines the relationship between the buyer and seller

with respect to transfer of risk, transfer of obligations, as well as division of cost.
